These Terms of Use, including the Privacy Policy and any other Terms and Conditions published on the Platform or communicated to you from time to time (collectively referred to as the “Agreement”), define the relationship and responsibilities between You and ‘Creator’, ‘we’, ‘us’, our’ (as defined herein) in using the Platform.  

Your access to the Platform is subject to Your acceptance of this Agreement. Hence, please take Your time to read this Agreement. 

When we speak of “Creator”, “we”, “us”, and “our” we collectively mean “The Skill Vendor” being the creator of this Platform and the content/materials/services contained therein. 

By accessing this Platform, You are agreeing to be bound by the terms of this Agreement, all applicable laws and regulations. From time- to – time, versions of the above-mentioned policies and terms are made available on the Platform for Your reference and to understand how we handle Your personal information. By using or visiting the Platform and services provided to You on, from, or through the Platform, You are expressly agreeing to the terms of Agreement and any other terms that are updated from time to time. 

Since our Terms of Use govern your use of the Platform, please be sure to read the Terms of Use carefully, which includes the following sections:

1. Access and Registration:

If You’re an individual You must be at least 18 (eighteen) years of age, or, if You are between the ages of 13 and 18, You must have Your parent or legal guardian’s permission to use the Platform. By using the Platform, You are, through Your actions, representing and warranting to us that You have obtained the appropriate consents/permissions to use the Platform. 

To access any Content (as defined below) offered on the Platform, we require You to register for the same by providing Your name and email address. Further, You may also be required to make payment of a fee to access the Content. You represent that the information indicated by You during Your enrolment or registration for any Content on the Platform, is true and complete, that You meet the eligibility requirements for use of the Platform and the Content offered therein, and You agree to update us upon any changes to the information by writing to us at the contact information provided in the ‘Contact Us’ section below. 

For the purpose of this Agreement, “Content” shall mean and include any course or session (whether pre-recorded or live) published by the Creator on the Platform, including, but not limited to any reference materials and text files (if any) offered to You as part of the Content.

“Subscription” means a paid plan granting access to specific Content for a defined period.

“Agreement” means these Terms of Use, the Privacy Policy, IP Policies, IT Policies, Cookie Policy, any Acceptable Use Policy, Code of Conduct, or other policies, guidelines and rules published on or incorporated into the Platform; all order forms, subscription plans, purchase confirmations, addenda or schedules issued by The Skill Vendor; and any future amendments, updates or supplements to any of the foregoing, in each case as incorporated by reference.

We maintain and reserve the right to refuse access to the Platform, at any time without notice to You, if, in our opinion, You have violated any provision of this Agreement.

Further, to access the Platform and/or view the content on the Platform, You will need to use a “Supported/Compatible Device” which means a personal computer, mobile phone, portable media player, or other electronic device that meets the system and compatibility requirements and on which You are authorized to operate the Platform. The Supported/Compatible Devices to access the Platform may change from time to time and, in some cases, whether a device is (or remains) a Supported/Compatible Device may depend on software or systems provided or maintained by the device manufacturer or other third parties. Accordingly, devices that are Supported/Compatible Devices at one time may cease to be Supported/Compatible Devices in the future. Thus, kindly make sure that the device that You use is compatible with any of the systems/software used on the Platform to access the content/material offered therein. 

2. License to Use:

You are granted a limited, non-exclusive, non-transferable license to access and view the content and materials available on The Skill Vendor platform for Your own personal, non-commercial use only. If downloading is permitted on the platform, You may temporarily download one copy of any downloadable content or materials for personal and non-commercial transitory viewing. This license does not grant You the right to assign or sublicense Your rights under this Agreement to anyone else.

Further, You may not: 

a) Modify, edit, reproduce, or copy any content or materials available on the Platform; 

b) Create derivative works from, or commercially exploit any content or materials made available on the Platform, or any portion thereof (including, but not limited to, any copyrighted material, trademarks, or other proprietary information contained therein), in a manner not expressly permitted by this license; 

c) Publicly display (commercially or non-commercially) any content or materials available on the Platform or otherwise use them for any commercial purpose; 

d) Attempt to decompile, disassemble, or reverse engineer any software, applications, or underlying technology contained within the Platform; 

e) Remove any copyright, trademark, or other proprietary notations from any content or materials made available on the Platform; or 

f) Transfer any content or materials made available on the Platform to another person or ‘mirror’ them on any other server.

For the purpose of this Agreement, “Content” and “Materials” refer to all courses, information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials and intellectual property accessible on the Platform.

This license shall automatically terminate if You violate any of these restrictions and may be terminated by Us at any time. Upon termination of this license or Your viewing rights, You must immediately destroy any downloaded content or materials in Your possession, whether in electronic or printed format.

3. Subscriptions & Payments

Access to The Skill Vendor Platform, including its wide range of courses and core features, requires payment through a subscription plan. Pricing and details of available subscription plans will be clearly communicated on our Platform. You can purchase Subscriptions by following the instructions provided during your navigation.

The following terms apply to Your purchase and use of Subscriptions:

i. Subscription Scope & Plan Variations: Your Subscription grants access only to the specific content and features included in the purchased plan or category. The services, features, and validity period (“Subscription Period”) may vary significantly between plans. It is Your responsibility to carefully review and understand the details of any Subscription plan before purchase.

ii. Pricing, Renewal & Revisions: Prices for Subscriptions will be displayed on the Platform. While a Subscription Period may be extended upon renewal, please be aware that prices are subject to revision from the time of your initial purchase.

iii. Personal Use & Non-Transferability: All Subscriptions are strictly for Your personal, individual benefit and are non-transferable, non-resalable, and non-shareable. If we determine that a Subscription has been resold, transferred, or shared with another person, The Skill Vendor reserves the right to immediately cancel or terminate the Subscription without refund.

Definition of “Lifetime Access”: Unless explicitly stated otherwise, “lifetime access” means access for a maximum duration of 5 years from the date of purchase. This period reflects the reasonable expected operational lifetime of our course content, partnerships, and platform services.

4. Skill X AI Usage & Credits: Your Subscription may include limited free credits for the Skill X AI terminal. Once these free credits are exhausted, you will have the following options to continue using AI features:

a) You may purchase additional usage credits directly from us, or

b) You may connect your own API keys to continue using AI features at your own cost. Please note that The Skill Vendor is not responsible for any usage fees, overages, or account issues incurred through third-party API providers when you use your own API keys.

5. Additional Paid Features 

While your Subscription grants you access to a wide range of courses and features, certain premium content, tools, or advanced functionalities (separate from your base Subscription) may require additional payments even after subscribing. Access to these specific paid features is optional, and pricing will be clearly communicated prior to purchase. Content access for these features may also be subject to specific restrictions by content providers, including limitations on viewing access or duration. Any additional terms applicable to these supplementary features will be made available on the Platform or otherwise communicated to you.

6. Third-Party Services & Dependencies 

We partner with external platforms, content providers, and vendors to deliver certain courses, offers, perks, and AI tools. If any operational, technical, or business issues occur with these third-party services, it may lead to downtime, interruptions, or discontinuation of affected features. The Skill Vendor is not liable for any inconvenience, loss of access, or damages arising from such circumstances.

Perks and offers displayed on the platform, sourced from third-party brands and providers. If any offer is declined, revoked, expired, or unavailable for any reason at the time of redemption, The Skill Vendor shall not be responsible or liable for compensation, replacement, or refunds.

7. User Responsibility & Compliance – 

You acknowledge and agree that you are solely responsible for your use of the Platform and for all activities that occur under your account. You agree to:

i. Maintain the confidentiality and security of your login credentials, including your password. You are solely responsible for all activities that occur under your account.

ii. Ensure that your use of the platform complies with all applicable local, state, national, laws, regulations, and generally accepted online practices and guidelines.

iii. Bear any taxes, fees, or charges imposed by us on your purchases or use of the Platform.

iv. Provide accurate, current, and complete information when creating your account and using the Platform, and to promptly update your information if it changes.

Fair Use Policy: To ensure an optimal experience for all users, The Skill Vendor implements a Fair Use Policy on its platform, including but not limited to:

i. Reasonable limits on the volume and frequency of content downloads or streaming.

ii. Responsible usage of SkillX AI credits and API integrations to prevent abuse or excessive consumption of system resources.

iii. Prohibiting automated scraping, bulk downloading, or other activities that disrupt platform performance.

You agree that you will not use the Platform for any purpose that is unlawful, prohibited by these Terms, or could damage, disable, overburden, or impair the Platform, or interfere with any other party’s use and enjoyment of the Platform.

In case of any violation or if your usage breaches this Fair Use Policy or negatively impacts other users, The Skill Vendor reserves the right to take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Platform. We also reserve the right to monitor usage and suspend, limit, or terminate access to all or part of the Platform for any violation of these Terms or for any other conduct that we, in our sole discretion, believe is harmful to other users of the Platform, The Skill Vendor, or third parties, or for any other reason.

8. Disclaimer 

You agree that the platform, its content, and all materials are provided on an “as is” and “as available” basis and your use of the platform shall be at your sole risk.

To the fullest extent permitted by law, The Skill Vendor, its officers, employees, and agents disclaim and exclude all warranties, express or implied, in connection with the platform and your use thereof.

To the fullest extent permitted by law, The Skill Vendor excludes all warranties, conditions, terms, or representations about the accuracy, security, reliability, quality, availability, or completeness of the platform, or the content of any sites so linked, and assumes no liability or responsibility for any:

A. Errors, mistakes, or inaccuracies of content or any materials on the platform;

B. Personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the platform;

C. Any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein;

D. Any interruption or cessation of transmission to or from the platform;

E. Any bugs, viruses, Trojan horses, destruction of data resulting from hacking, malware, or other cyber incidents beyond our reasonable control or the like which may be transmitted to or through the platform by any third party; and/or

F. Any errors or omissions in any content or materials or for any loss or damage of any kind incurred as a result of the use of any content or materials that are posted, emailed, transmitted, or otherwise made available via the platform. 

G. While our Online Courses have been prepared with every effort to help you develop the relevant skills, our Online Courses do not take into account your personal circumstances. Many factors will be important in determining whether you achieve any actual results in relation to your skill development and there is no guarantee that you will be able to achieve any specific results within any timeframe, or at all.

The Skill Vendor does not warrant, endorse, guarantee, or assume responsibility for any content or materials advertised or offered by a third party through the platform or any hyperlinked services or featured in any banner or other advertising, and The Skill Vendor will not be a party to or in any way be responsible for monitoring any transaction between you and third-party providers of content, materials, or services. As with the purchase of a service through any medium or in any environment, you should use your best judgment and exercise caution where appropriate.

9. Content Purpose & Outcome Disclaimers

All content and tools provided by The Skill Vendor are for educational and informational purposes only.

We do not guarantee that applying any knowledge, strategies, or advice will result in financial gain or other outcomes. While our Online Courses have been prepared with every effort to help you develop the relevant skills, our Online Courses do not take into account your personal circumstances. Many factors will be important in determining whether you achieve any actual results in relation to your skill development and there is no guarantee that you will be able to achieve any specific results within any timeframe, or at all.

We disclaim all liability for any monetary losses, business setbacks, or other consequences arising from the use or misuse of our content.

10. Intellectual Property

We own all information and materials, including Content and Creator Content (in whatever form or media) provided or communicated to You by or on behalf of us including but not limited to, the Platform, trademarks, trade dress, logos, wordmarks, illustrations, letters, images, ideas, concepts, the layout, design, flow, look and feel of the Platform, logos, marks, graphics, audio files, video files, any software which is owned by or licensed to us, instructions embedded in any form of digital documents and other data, information, or material made available to You by us (“The Skill Vendor’s Intellectual Property”). The Skill Vendor’s Intellectual Property, including the copyrights and trademarks contained therein, may not be modified by You in any way. You acknowledge and agree that You do not acquire any ownership rights to The Skill Vendor’s Intellectual Property by use of the Platform or any part thereof. You acknowledge and agree that The Skill Vendor’s Intellectual Property is protected by the applicable intellectual property laws, including international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws and any unauthorized use, reproduction, modification, distribution, transmission, republication, display or performance of The Skill Vendor’s Intellectual Property or any component thereof is strictly prohibited.

11. Limitation of Liability

To the fullest extent permitted by law, in no event shall The Skill Vendor, its affiliates, their respective officers, employees, or agents, be liable to you for any direct, indirect, incidental, special, punitive, losses or expenses, or consequential damages whatsoever resulting from any:

(I) Errors, mistakes, or inaccuracies of content or any other content available on The Skill Vendor Platform;

(II) Personal injury or property damage, of any nature whatsoever, resulting from your access to and use of our Platform;

(III) Any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein;

(IV) Any interruption or cessation of transmission to or from The Skill Vendor Platform;

(V) Any bugs, viruses, Trojan horses, destruction of data resulting from hacking, malware, or other cyber incidents beyond our reasonable control or the like, which may be transmitted to or through our Platform by any third party; and/or

(VI) Any errors or omissions in any content or materials or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via The Skill Vendor Platform.

We understand that, in some jurisdictions, warranties, disclaimers, and conditions may apply that cannot be legally excluded. If that is true in your jurisdiction, then to the extent permitted by law, The Skill Vendor and its affiliates limit their liability for any claims under those warranties or conditions to supplying you the Platform again.

You specifically acknowledge that The Skill Vendor shall not be liable for content or materials or the defamatory, offensive, or illegal conduct of any third party and that the risk of harm or damage from the foregoing rests entirely with you.

The Skill Vendor Platform is controlled and offered by The Skill Vendor and/or its affiliates. The Skill Vendor makes no representations that the Platform is appropriate or available for use in other locations. Those who access or use The Skill Vendor Platform from other jurisdictions do so at their own volition and are responsible for compliance with local law.

12. Indemnity : 

You shall indemnify and hold harmless the Creator and where applicable, its officers, directors, agents and employees, from any claim or demand, or actions including reasonable attorney’s fees, made by any third party or penalty imposed due to or arising out of Your breach of this Agreement or any document incorporated by reference, or Your violation of any law, rules, regulations or the rights of a third party. 

13. Links to Third Party Website: 

Creator has not reviewed all of the sites linked to its Platform and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by the Creator of such site. Use of any such linked website is at the Your own risk.

14. Governing Law and Jurisdiction: 

These Terms and your use of the Site are governed by the laws of India, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of Jodhpur Rajasthan (India) for any dispute arising out of or relating to these Terms.

15. Updating These Terms

We reserve the right to update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and The Skill Vendor reserves the right in its sole discretion to modify, suspend, or discontinue any feature, content, course, service, or changes to these Terms at any time without any prior notice. Modifications will become effective on the day they are posted unless stated otherwise.

Your continued use of our Services after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.

16. Termination

We reserve the right, without notice, to terminate or suspend your access to the Site and Services (including any digital courses) for any reason, including if you violate these Terms. Upon termination, your right to use the Site and materials will cease. You agree that we will not be liable to you or any third party for any termination of your access. f. Entire Agreement:These Terms constitute the entire agreement between you and the Company regarding your use of the Site and Services, superseding any prior agreements.
